1. Agreement to terms

By accessing or using Neutrally ("the Service"), available at neutrally.app, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

Neutrally is operated from the United Kingdom. These Terms are governed by the laws of England and Wales.

2. Description of service

Neutrally is an AI workspace that provides persistent memory across conversations and AI models. The Service includes:

  • A chat interface for interacting with multiple AI models (including models from OpenAI, Anthropic, and Google)
  • Persistent memory that maintains context across conversations and model providers
  • An API and MCP server for programmatic access to memory and conversation data
  • File attachment processing, image generation, and PDF generation capabilities
  • A Bring Your Own Key (BYOK) option for users who wish to use their own AI provider API keys

3. Accounts

To use the Service, you must create an account with a valid email address and password. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activity that occurs under your account
  • Notifying us immediately of any unauthorised use of your account
  • Ensuring the information you provide is accurate and current

We reserve the right to suspend or terminate accounts that violate these Terms or remain inactive for an extended period.

4. Bring Your Own Key (BYOK)

If you choose to use the BYOK option, you provide your own API keys from third-party AI providers. By doing so, you acknowledge and agree that:

  • You have a valid, active account and agreement with the relevant AI provider
  • Your use of those providers is subject to their respective terms of service
  • You are responsible for all charges incurred through your API keys
  • We encrypt your API keys using AES-256-GCM and store them securely, but you accept the inherent risk of providing credentials to a third-party service
  • We do not guarantee the availability, accuracy, or performance of third-party AI providers

5. Acceptable use

You agree not to use the Service to:

  • Violate any applicable local, national, or international law or regulation
  • Generate, store, or distribute content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable
  • Attempt to circumvent usage limits, rate limiting, or access controls
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use the Service to build a competing product or service
  • Attempt to access other users' data or accounts
  • Transmit malware, viruses, or any other harmful code
  • Use automated means (bots, scrapers) to access the Service beyond the provided API
  • Share your account credentials with others or allow multiple individuals to use a single account

6. Usage limits

The Service operates under a fair use model:

  • Standard users: Subject to token limits per rolling time window. Current limits are displayed in the application and may change.
  • BYOK users: No Neutrally-imposed token limits, but subject to the rate limits and quotas of your chosen AI provider.

We reserve the right to modify usage limits at any time. Abuse of the Service or attempts to circumvent limits may result in account suspension.

7. Intellectual property

The Service, including its design, code, features, and branding, is owned by Neutrally and protected by applicable intellectual property laws.

Your content: You retain ownership of the content you create through the Service, including your conversations, memory items, and uploaded files. By using the Service, you grant us a limited licence to process, store, and display your content solely as necessary to provide the Service to you.

AI-generated content: Content generated by AI models through the Service is subject to the terms of the respective AI provider. We do not claim ownership of AI-generated content.

8. API and MCP access

We provide API endpoints and an MCP (Model Context Protocol) server for programmatic access to certain features. Use of the API is subject to:

  • Authentication via valid credentials (Bearer tokens or OAuth)
  • Rate limiting as described in our API documentation
  • These Terms of Service and our Privacy Policy
  • Any additional guidelines published in our developer documentation

We reserve the right to modify, deprecate, or discontinue API endpoints with reasonable notice.

9. Privacy and data protection

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal data in compliance with the UK GDPR, EU GDPR, and the Data Protection Act 2018.

10. Third-party services

The Service relies on third-party AI providers to generate responses. We do not control and are not responsible for:

  • The accuracy, reliability, or appropriateness of AI-generated content
  • Service interruptions or changes made by third-party AI providers
  • Changes to third-party pricing, terms, or availability

AI-generated content may contain errors, biases, or inaccuracies. You should not rely on AI-generated content for critical decisions without independent verification.

11. Disclaimer of warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

  • The Service will be uninterrupted, timely, secure, or error-free
  • AI-generated content will be accurate, complete, or reliable
  • The memory and retrieval features will capture or recall all information perfectly
  • Any defects will be corrected within a specific timeframe

12. Limitation of liability

To the maximum extent permitted by applicable law, Neutrally and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or in connection with your use of the Service.

Our total aggregate liability for any claims arising from or related to the Service shall not exceed the amount you have paid us in the twelve (12) months preceding the claim, or fifty pounds sterling (50 GBP), whichever is greater.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law.

13. Account deletion

You may delete your account at any time through the Settings page. Upon deletion:

  • All your personal data, conversations, memory items, and stored API keys will be permanently deleted
  • Your email address will be retained for 30 days to prevent immediate re-registration, then permanently deleted
  • This action is irreversible

14. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Grounds for termination include but are not limited to violation of these Terms, abuse of the Service, or extended periods of inactivity.

Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination shall survive, including intellectual property, disclaimers, limitation of liability, and governing law.

15. Changes to terms

We may modify these Terms at any time. Material changes will be communicated by updating the "Last updated" date and, where appropriate, notifying you by email or through the Service. Your continued use of the Service after changes constitutes acceptance of the revised Terms.

16. Governing law and jurisdiction

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

If you are a consumer resident in the European Union, you retain any mandatory consumer protection rights afforded to you under the laws of your country of residence, and you may bring proceedings in the courts of your country of residence.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions remain in full force and effect.
